Procedures
These Terms of Service, our Community Guidelines, Prohibited Items Policy, and any other documents referenced herein (collectively, the "Terms") govern your access to and use of the Garage Sale mobile application, website, and all related online products and services (collectively, the "Garage Sale Services" or "Services") provided by Garage Sale LLC ("Garage Sale," "we," or "us"), a Florida Limited Liability Company.
PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE MANDATORY ARBITRATION PROVISIONS IN SECTION 21, WHICH REQUIRE THAT DISPUTES BE RESOLVED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS AND NOT ON A CLASS-WIDE BASIS. IF YOU DO NOT WISH TO BE SUBJECT TO ARBITRATION, YOU MAY OPT OUT BY FOLLOWING THE INSTRUCTIONS IN SECTION 21.
YOU ACKNOWLEDGE AND AGREE THAT THERE ARE RISKS ASSOCIATED WITH USING AN INTERNET-BASED MARKETPLACE AND INTERACTING WITH OTHER USERS IN PERSON, AS OUTLINED IN SECTION 17.
BY DOWNLOADING, ACCESSING, OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.
We may provide additional or different terms in connection with specific features of our Services (including terms from third-party payment processors or fulfillment providers), and those terms become part of your agreement with us when you use those features. In the event of a conflict, the additional terms will control.
We may update these Terms from time to time. If we make changes, we will notify you by email, in-app notice, or by updating the effective date above. Your continued use of the Services after any update constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our Services.
1.Privacy
For information about how we collect, use, share, and otherwise process information about you, please see our Privacy Policy and any applicable State-Specific Privacy Disclosures. By agreeing to these Terms, you also acknowledge that you have been provided notice of our Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference.
2.Eligibility
You must be at least 16 years of age to use our Services. If you are under 18 years of age, you may use our Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms and accepts full responsibility for your activity on the platform.
If you are a parent or legal guardian of a user under the age of 18, you agree to be fully responsible for the acts and omissions of that user in connection with the Services.
If you are registering to use the Garage Sale Services on behalf of a legal entity, you represent and warrant that: (a) such entity is duly organized and validly existing under applicable law; and (b) you are duly authorized to act on its behalf and to bind it to these Terms.
In all cases, to use our Services you must: (a) reside in the United States or its territories; (b) not have been previously suspended or removed from the Garage Sale platform; and (c) not be in violation of any other agreement to which you are a party by accepting these Terms.
3.User Accounts & Account Security
To access certain features of the Garage Sale Services, you may be required to create an account. By creating an account, you agree to:
Provide accurate, current, and complete information at registration and keep it updated.- Maintain the confidentiality and security of your login credentials at all times.
- Promptly notify us at support@garagesaleapp.com if you discover or suspect unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
You may only maintain one Garage Sale account. Duplicate accounts are prohibited. We reserve the right to reclaim usernames, including on behalf of businesses or individuals that hold legal claim or trademark rights to those names.
4.The Garage Sale Services
A. Listing Items, Buying & Selling
The Garage Sale Services allow users to post items for sale by uploading photos or video and providing item descriptions, pricing, and location information. Standard listings may be posted without charge. Garage Sale may charge fees for certain listing types, premium placements, or features that exceed your available free posts. Fee details will be presented prior to any charge. When a buyer and seller agree on a price, the transaction may be completed through one of several methods:
- In-Person Exchange: Buyers and sellers may arrange to meet locally and complete the transaction using cash or any mutually agreed payment method. Garage Sale is not a party to such transactions, does not facilitate payment for them, and cannot assist with refunds, returns, or disputes arising from them. You acknowledge that Garage Sale cannot be held liable for any claims arising out of in-person transactions
- Shipped Transactions: Where available through our platform, sellers may ship items to buyers. Sellers are solely responsible for accurate shipping descriptions, costs, and timely fulfillment.
GARAGE SALE IS A MARKETPLACE PLATFORM ONLY. WE ARE NOT A BUYER OR SELLER AND ARE NOT A PARTY TO ANY TRANSACTION BETWEEN USERS UNLESS EXPLICITLY STATED OTHERWISE IN A SEPARATE WRITTEN AGREEMENT.
B. User Verification & Trust Badges
Garage Sale may offer optional verification badges that users can apply for and display on their profiles. Verification badges indicate only that a user has submitted the requested documentation to Garage Sale or its verification partner.
A VERIFICATION BADGE DOES NOT MEAN THAT GARAGE SALE HAS CONFIRMED A USER'S IDENTITY, CONDUCTED A BACKGROUND OR CRIMINAL CHECK, OR MADE ANY ASSESSMENT OF A USER'S CHARACTER, TRUSTWORTHINESS, OR INTENTIONS.
Garage Sale partners with third-party identity verification services to process verification applications. By applying for a verification badge, you agree to the applicable terms and privacy policies of those third-party providers.
C. Payment Accounts
Where Garage Sale offers an in-app payment solution ("Garage Sale Payment Solution"), use of that feature may require you to maintain an account with our designated third-party payment processor ("Payment Provider"). Garage Sale currently uses Stripe, Inc. as its Payment Provider. By using the Garage Sale Payment Solution, you agree to the Stripe Connected Account Agreement and Stripe Terms of Service (collectively, the "Stripe Services Agreement"). Garage Sale is not a party to the Stripe Services Agreement and is not responsible for payment services provided by Stripe.
If our Payment Provider changes or discontinues its services, you authorize us to facilitate the transition of your payment information to an alternative Payment Provider.
D. Taxes
You are solely responsible for any sales, use, excise, or other governmental taxes or fees due with respect to your purchases or sales through the Services. Garage Sale will collect applicable sales tax where we determine we have a legal obligation to do so under applicable state or local law.
E. Paid Services & Subscriptions
While using Garage Sale is generally free, certain features are available for a fee ("Paid Services"). Paid Services may include, but are not limited to: (i) promoted or featured listings; (ii) enhanced profile features; (iii) additional listing slots beyond your free tier; or (iv) other premium features Garage Sale may develop. Unless otherwise noted, Paid Services are billed and managed through your applicable Apple App Store or Google Play Store account (each a "Platform").
Subscriptions: Some Paid Services are offered as recurring subscriptions ("Subscriptions") that automatically renew on a monthly or annual basis at the price and terms identified at purchase. Your Platform will automatically charge the applicable fee at the start of each renewal period until you cancel.
Cancellation: You may cancel a Subscription at any time through your Platform account settings. To avoid being charged for the next renewal period, you must cancel at least 24 hours before the end of the current period. Cancellations take effect at the end of the then-current period.
Free Trials: If a free trial is offered, you will be automatically charged at the conclusion of the trial period unless you cancel at least 24 hours before the trial ends through your Platform account.
One-Time Purchases: One-time Paid Services are charged once and do not auto-renew.
BY PURCHASING A SUBSCRIPTION ON GARAGE SALE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THESE TERMS AND YOUR PLATFORM'S PAYMENT TERMS, AND THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW UNTIL CANCELED.
5.User Content Content
Our Services allow you and other users to create, post, store, and share content, including but not limited to item listings, photos, videos, descriptions, messages, reviews, and other materials (collectively, "User Content"). Except for the license granted below, you retain ownership of your User Content.
By posting User Content on or through our Services, you grant Garage Sale LLC a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display your User Content in all media formats and channels now known or hereafter developed, for the purpose of operating, promoting, and improving the Garage Sale platform.
You represent and warrant that:- You own or have all necessary rights to post your User Content and to grant the license above.
- Your User Content does not violate these Terms or any applicable law.
- Your User Content does not infringe or violate any third-party rights, including intellectual property or privacy rights.
- Your User Content is accurate and not misleading.
You will not post User Content that:
- Is unlawful, defamatory, obscene, pornographic, harassing, threatening, or invasive of another's privacy or publicity rights.
- Is fraudulent, misleading, false, or deceptive.
- Infringes any patent, trademark, trade secret, copyright, or other intellectual property right.
- Constitutes, encourages, or provides instructions for a criminal offense or violation of any law.
- Contains unsolicited marketing, spam, pyramid schemes, or political campaigning.
- Contains private information of third parties, including addresses, phone numbers, or financial data.
Garage Sale does not actively monitor User Content but reserves the right to remove any User Content at any time, for any reason, with or without notice.
6.Prohibited Conduct
You are solely responsible for your conduct while using our Services. You agree that you will not:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Post, list, or sell any item that violates our Prohibited Items Policy.
- Engage in harassment, intimidation, threatening, stalking, or abusive conduct toward any user or Garage Sale employee.
- Post fraudulent, misleading, or deceptive listings or content.
- Attempt to conduct transactions outside the Garage Sale platform in order to circumvent our fees or policies.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Create more than one Garage Sale account.
- Transfer, sell, or assign your account to another person.
- Attempt to access another user's account without authorization.
- Use any automated tools, bots, scrapers, or scripts to access, collect, or extract data from our platform without our express written consent.
- Reverse engineer, decompile, or attempt to extract the source code of our app or platform.
- Interfere with or disrupt the integrity, performance, or security of our Services or networks.
- Remove or obscure any proprietary notices or branding within our Services.
- Attempt to use gift cards, cryptocurrency, or other non-standard payment forms in violation of our payment policies.
- Send spam, unsolicited messages, or bulk commercial communications to other users.
- Use the Services to establish a basis for a lawsuit or claim against Garage Sale.
- Develop third-party applications that interact with the Services without our prior written consent.
Garage Sale may suspend or terminate your account for any violation of this Section. Enforcement is at Garage Sale's sole discretion. Failure to enforce this Section in some instances does not waive our right to enforce it in others.
7.Ownership & Limited License
The Garage Sale Services — including all text, graphics, images, photographs, videos, illustrations, software, code, and other content — are owned by Garage Sale LLC or our licensors and are protected by United States and international intellectual property laws. Except as expressly stated in these Terms, all rights in and to the Services are reserved.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services for their intended personal, non-commercial purposes.
8.Suspension & Termination
Garage Sale may suspend or terminate your access to the Services at any time, with or without notice, at our sole discretion. Grounds for suspension or termination include, without limitation: (i) breach of any obligation in these Terms; (ii) violation of any Garage Sale policy or guideline; (iii) fraudulent, harmful, or illegal activity; or (iv) use of the Services other than as authorized.
Upon suspension or termination, you must immediately cease all use of the Services. Garage Sale reserves the right to pursue civil, criminal, or injunctive relief and to recover attorneys' fees and costs for violations occurring after suspension or termination. Provisions of these Terms that by nature should survive termination will continue to apply.
9.Trademarks & Brand
"Garage Sale," the Garage Sale logo, our mascot character Gary Hagsworth, and all related brand elements, slogans, product names, and the look and feel of our app and website are trademarks, service marks, and/or trade dress of Garage Sale LLC and may not be copied, imitated, or used — in whole or in part — without our prior written permission.
All other trademarks, product names, and company names or logos referenced through the Services are the property of their respective owners. Reference to any third-party product or service does not constitute an endorsement by Garage Sale.
10.Feedback
If you submit ideas, suggestions, comments, or other feedback about Garage Sale or our Services ("Feedback"), you understand and agree that we may use such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you. You understand that Garage Sale treats all Feedback as non-confidential and non-proprietary.
11.Copyright & Intellectual Property Complaints
Garage Sale respects intellectual property rights. In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, we have adopted a policy of terminating, in appropriate circumstances, accounts of users who repeatedly infringe the intellectual property rights of others.
If you believe that content on our platform infringes your copyright or other intellectual property rights, please submit a written notice to our designated agent:

12.Third-Party Materials & Content
A. Third-Party Materials
Certain elements of the Garage Sale Services may include content or functionality provided by third-party partners ("Third-Party Materials"). These Third-Party Materials are beyond our control. Garage Sale has no obligation to monitor Third-Party Materials and may disable access to them at any time. Your use of or interaction with Third-Party Materials is solely between you and the relevant third party.
B. Third-Party Content
We may allow third parties to make content or information available through our Services ("Third-Party Content"). Garage Sale does not control, endorse, or make representations regarding Third-Party Content. Your access to and use of Third-Party Content is at your own risk.
C. No Liability for Third-Party Content or Materials
Your access to Third-Party Materials or Third-Party Content may be subject to additional terms of those third parties. Garage Sale is not responsible for any third-party content, products, or services, and you agree that Garage Sale has no liability arising from your access to or use of any Third-Party Materials or Third-Party Content. You agree not to bring any claims against Garage Sale related to third-party partners. Your indemnification obligations in Section 14 extend to claims arising out of Third-Party Materials or Third-Party Content.
13.Community Meetup Safety
Garage Sale strongly encourages users to meet in safe, public locations when completing in-person transactions. We may, from time to time, designate or recommend Community Meetup Spots — well-lit, public locations such as police station parking lots, shopping centers, or other publicly monitored areas.
GARAGE SALE DOES NOT INDEPENDENTLY VERIFY, MONITOR, OR WARRANT THE SAFETY OR CONDITIONS OF ANY COMMUNITY MEETUP SPOT OR ANY LOCATION WHERE USERS CHOOSE TO MEET. YOUR USE OF ANY MEETING LOCATION AND YOUR INTERACTIONS WITH OTHER USERS ARE ENTIRELY AT YOUR OWN RISK AND SUBJECT TO THE PROVISIONS OF SECTIONS 15 THROUGH 18 OF THESE TERMS.
14.Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Garage Sale LLC and its owner, officers, employees, agents, successors, and assigns (collectively, the "Garage Sale Parties") from and against any and all losses, liabilities, claims, demands, damages, expenses, and costs ("Claims") arising out of or related to:
- Your access to or use of the Services.
- Your User Content or Feedback.
- Your violation of these Terms.
- Your violation, misappropriation, or infringement of any rights of another party, including intellectual property or privacy rights.
- Your conduct in connection with the Services, including your interactions with other users.
- Your access to or use of any Third-Party Materials or Third-Party Content.
You agree to promptly notify the Garage Sale Parties of any third-party Claims, to cooperate in their defense, and to pay all fees, costs, and expenses associated with such defense, including attorneys' fees. Garage Sale reserves the right, at its option, to assume exclusive control of the defense or settlement of any such Claims
15.Disclaimers
YOUR USE OF THE GARAGE SALE SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND ALL CONTENT THEREIN ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
GARAGE SALE DOES NOT REPRESENT OR WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY LISTING IS ACCURATE, AUTHENTIC, OR COMPLETE; (C) ANY USER IS WHO THEY CLAIM TO BE; OR (D) ANY TRANSACTION WILL BE COMPLETED SUCCESSFULLY. YOU ASSUME ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICES.
16.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GARAGE SALE LLC AND THE OTHER GARAGE SALE PARTIES WILL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY — WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, WARRANTY, OR OTHERWISE — FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The total aggregate liability of Garage Sale LLC and the other Garage Sale Parties for any claim arising out of or relating to these Terms or our Services, regardless of the form of the action, is limited to the greater of: (a) $100.00 USD; or (b) the total amount paid by you to Garage Sale in the twelve (12) months immediately preceding the event giving rise to the claim.
The limitations above will not limit or exclude liability for gross negligence, fraud, or intentional misconduct by Garage Sale. Some jurisdictions do not permit exclusion or limitation of incidental or consequential damages, so these limitations may not fully apply to you.
17.Assumption of Risk
A. MARKETPLACE RISK. YOU ACKNOWLEDGE AND AGREE THAT THERE ARE INHERENT RISKS ASSOCIATED WITH USING AN INTERNET-BASED PEER-TO-PEER MARKETPLACE AND WITH INTERACTING WITH STRANGERS IN PERSON. GARAGE SALE DOES NOT INVESTIGATE, VERIFY, OR BACKGROUND-CHECK ANY USER'S REPUTATION, IDENTITY, CONDUCT, MORALITY, OR CRIMINAL HISTORY. YOU ARE SOLELY RESPONSIBLE FOR ALL PRECAUTIONS TAKEN WHEN INTERACTING WITH OTHER USERS — ONLINE OR IN PERSON. OTHER USERS MAY ATTEMPT TO DEFRAUD YOU, HARM YOU PHYSICALLY, OR OBTAIN YOUR PERSONAL INFORMATION FOR FRAUDULENT PURPOSES. YOU ASSUME ALL RISKS ASSOCIATED WITH BUYING AND SELLING THROUGH THE GARAGE SALE SERVICES.
B. IN-PERSON MEETINGS. WHEN YOU ARRANGE TO MEET ANOTHER USER IN PERSON, YOU DO SO ENTIRELY AT YOUR OWN RISK. GARAGE SALE PROVIDES SAFETY GUIDELINES AS A COURTESY BUT DOES NOT GUARANTEE YOUR SAFETY AND IS NOT RESPONSIBLE FOR ANY HARM, LOSS, OR INJURY RESULTING FROM IN-PERSON MEETINGS ARRANGED THROUGH THE SERVICES.
18.Release
To the fullest extent permitted by applicable law, you hereby release and forever discharge Garage Sale LLC and the other Garage Sale Parties from any and all Claims of every kind and nature, known and unknown (including claims of negligence), arising out of or related to: (a) disputes between users; (b) items bought or sold through the platform; and (c) the acts or omissions of any third party.
If you are a California resident, you waive your rights under California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
19.Data Transfer & Processing
In order for us to provide our Services, you agree that we may process, transfer, and store information about you in the United States and, where applicable, in other countries. Data protection laws in some countries may differ from those in your home jurisdiction. By using the Services, you consent to such transfer and processing consistent with our Privacy Policy.
20.Guidelines for Law Enforcement
Garage Sale cooperates with law enforcement agencies in connection with ongoing investigations related to alleged violations of law. Law enforcement agencies seeking user data or assistance should submit formal requests to legal@garagesaleapp.com with appropriate legal process documentation. We review all such requests in accordance with applicable law.
21.Dispute Resolution & Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE MOST DISPUTES WITH GARAGE SALE THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. IT ALSO WAIVES YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR JURY TRIALS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS.
A. No Class Actions
You and Garage Sale agree that any dispute arising out of or related to these Terms or the Services is personal to you and Garage Sale individually. No dispute may be brought as a class action, class arbitration, or any other type of representative proceeding. This prohibition applies to all types of claims, including refund claims and claims related to taxes collected and remitted in good faith.
B. Informal Resolution First
Before initiating arbitration, you agree to contact Garage Sale at legal@garagesaleapp.com and attempt to resolve the dispute informally. Your written notice must include: (a) your full name, address, email, and phone number; (b) your Garage Sale username; (c) a description of the dispute; (d) details of the specific item or transaction at issue; and (e) the specific relief you are seeking. If the parties cannot resolve the dispute within thirty (30) days of receiving the written notice, either party may initiate binding arbitration.
C. Binding Arbitration
Except for small claims court disputes or claims seeking injunctive relief for intellectual property violations, all disputes shall be resolved through confidential, binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, before a single arbitrator. Arbitration may be conducted in person in Brevard County, Florida; by telephone; or via video conference for claims under $10,000. The arbitrator shall have exclusive authority to resolve all procedural and substantive disputes and may grant any remedy available in court.
You and Garage Sale agree that these Terms affect interstate commerce and that the Federal Arbitration Act, 9 U.S.C. § 1 et seq. ("FAA"), governs the interpretation and enforcement of this arbitration agreement. To the maximum extent permitted by law, the FAA preempts any conflicting state arbitration laws.
Filing fees: For arbitrations you initiate, you will pay the AAA filing fee; Garage Sale will pay all remaining AAA fees and costs. For arbitrations Garage Sale initiates, Garage Sale will pay all AAA fees and costs.
All arbitration proceedings, judgments, and awards shall be kept strictly confidential, except as required by law or in connection with enforcement of an award.
Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after such claim arose. Claims filed after this period are permanently barred.
D. Opt-Out
You have the right to opt out of binding arbitration within thirty (30) days of the date you first accepted these Terms by emailing legal@garagesaleapp.com with the subject line "Arbitration Opt-Out." Your opt-out notice must include your full name, address, and a clear statement of your intent to opt out. By opting out, you agree to resolve disputes pursuant to Section 22.
E. Severability
If any portion of this Section 21 is found unenforceable, that portion shall be severed, and the remainder of this Section shall continue in full force. If a claim must proceed on a class or representative basis, it shall be litigated in a court of competent jurisdiction, not in arbitration, and such litigation shall be stayed pending resolution of any individual arbitration claims.
22.Governing Law & Venue
These Terms and any dispute arising from them or from your use of the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute not subject to arbitration or not appropriate for small claims court shall be resolved exclusively in the state or federal courts located in Brevard County, Florida, and you consent to personal jurisdiction in those courts.
23.Modifying & Terminating Our Services
Garage Sale reserves the right to modify, suspend, or discontinue all or any portion of our Services at any time, with or without notice, and without liability to you. You also have the right to stop using our Services at any time. We are not responsible for any loss or harm resulting from your inability to access or use the Services.
24.Miscellaneous
Severability: If any provision of these Terms is found unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
No Waiver: Garage Sale's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
